Please read these Terms of Service carefully before using our website or engaging CelloIP Technologies for software development services.
1. Agreement to Terms
By accessing or using the CelloIP Technologies website (celloip.com) or engaging our software development services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our website or services.
These terms apply to all visitors, clients, and others who access or use our services. For specific project engagements, a separate project agreement or Statement of Work (SoW) will govern the terms of that engagement and takes precedence over these general terms where they conflict.
2. Services
CelloIP Technologies (operating as Sheerbit Technologies) provides custom software development services including VoIP platform development, WebRTC development, mobile application development, cloud infrastructure and DevOps services, AI integration, and related technical consulting.
Specific deliverables, timelines, payment terms, and acceptance criteria for each project are defined in a separate Statement of Work or project agreement executed between CelloIP Technologies and the client.
3. Intellectual Property
Upon receipt of full payment for a project, all custom code, designs, configurations, and deliverables created specifically for a client project are assigned to the client. CelloIP Technologies retains no rights to client-specific deliverables after full payment.
CelloIP Technologies retains all rights to: (a) pre-existing frameworks, libraries, and tools developed before the project; (b) generic components and utilities not created exclusively for the client; (c) CelloIP's internal processes, methodologies, and know-how. These retained elements may be used in other projects.
Open-source components incorporated into deliverables are subject to their respective licences, which will be disclosed in writing before project commencement.
4. Confidentiality and NDA
CelloIP Technologies treats all client information as confidential. We will not disclose project details, technical architecture, business requirements, or any proprietary information shared by clients to third parties without prior written consent, except as required by law.
For projects involving sensitive business data, a separate Non-Disclosure Agreement (NDA) will be executed prior to project commencement. CelloIP Technologies routinely signs client-provided NDAs and also offers its own standard NDA upon request.
5. Payment Terms
Payment terms for each project are specified in the project agreement. Standard terms include a deposit (typically 30–50% of project value) upon agreement signing, with milestone-based payments tied to delivery of agreed-upon deliverables, and a final payment upon project completion and client acceptance.
Invoices are payable within 14 days of issue unless otherwise agreed. Late payments may incur interest at 1.5% per month. CelloIP Technologies reserves the right to pause or suspend work on projects with overdue invoices after providing 7 days' written notice.
6. Warranties and Representations
CelloIP Technologies warrants that: (a) services will be performed in a professional and workmanlike manner consistent with industry standards; (b) deliverables will substantially conform to the agreed specifications at the time of delivery; (c) we have the right to enter into the project agreement and perform the services.
A warranty period of 60 days applies to all delivered code, during which CelloIP Technologies will fix defects that prevent deliverables from conforming to the agreed specifications at no additional charge. This warranty does not cover defects caused by client modifications, third-party software, or changes in the client's environment after acceptance.
7. Limitation of Liability
To the maximum extent permitted by applicable law, CelloIP Technologies's total liability to any client for any claim arising out of or related to our services shall not exceed the total fees paid by that client for the specific project giving rise to the claim in the 12 months preceding the claim.
CelloIP Technologies shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or loss of business, even if we have been advised of the possibility of such damages.
8. Website Use
You may use our website for lawful purposes only. You must not: use the website to transmit spam or unsolicited communications; attempt to gain unauthorised access to our systems; scrape, crawl, or harvest data from the website in an automated manner without written permission; use the website in any way that could damage, disable, or impair our infrastructure.
The content on celloip.com — including articles, code snippets, comparisons, and guides — is provided for informational purposes and may not be reproduced, distributed, or used commercially without written permission.
9. Third-Party Services and Links
Our website may contain links to third-party websites or services. These links are provided for convenience only. CelloIP Technologies does not endorse or assume any responsibility for the content, privacy policies, or practices of any third-party websites. Your use of third-party websites is at your own risk.
10. Governing Law and Disputes
These Terms of Service are governed by the laws of India, without regard to conflict of law principles. Any dispute arising from or related to these terms or our services shall first be subject to good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration in Ahmedabad, Gujarat, India, in accordance with the Arbitration and Conciliation Act, 1996.
11. Modifications
We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to celloip.com with a revised effective date. Your continued use of our website or services after changes are posted constitutes your acceptance of the modified terms. For active project clients, material changes to service terms will be communicated in writing.
